1. About these Terms

These Terms & Conditions govern access to the website and the sale and supply of digital products and digital services through GTBackup, accessible at https://www.gtbackup.com.

By placing an order, the customer confirms that they have read, understood and accepted these Terms & Conditions in full. The version applicable to an order is the version available on the website when the order is placed.

2. B2B only — professional customers

GTBackup does not market or offer its products and services to consumers. A person who is unable to contract in a professional capacity must not create an account, place an order or use the digital products or services supplied through the website.

By placing an order, the customer declares that they are acting exclusively for purposes relating to their trade, business, craft or professional activity. The customer confirms that they possess the technical knowledge, tools, registrations, qualifications, authorisations and legal capacity required for the intended activity and use of ECU-related digital files.

The customer remains solely responsible for ensuring that their professional status, registration, authorisations and intended use comply with relevant laws, regulations and professional obligations.

Due to the digital and potentially immediate nature of the service, GTBackup is not required to perform a manual verification of each customer’s professional status before accepting payment or making digital content available. Account creation, payment processing, order acceptance or file delivery does not constitute certification or validation of the customer’s status, qualifications, authorisations or intended use.

If GTBackup reasonably believes that an order has been placed outside the authorised scope of the website, or on the basis of false or misleading information, GTBackup may refuse, suspend or cancel the order, restrict access to the account or downloads and, where appropriate, issue a refund.

Nothing in these Terms excludes any mandatory legal protection that may apply if a customer is legally recognised as a consumer despite having declared that they were acting in a professional capacity.

3. Seller identity

GTBackup is operated by the legal entity identified in our Legal Notice.

For any request regarding an order, a product, a service or these Terms, the seller may be contacted through the contact form.

4. Orders and contract formation

Before placing an order, the customer must review the product description, technical references, compatibility information, price and delivery method.

An order is submitted when the customer completes checkout and authorises payment. The contract is formed when payment has been successfully authorised and GTBackup confirms or begins processing the order.

GTBackup may refuse or cancel an order before delivery where the product is unavailable, the information supplied is incomplete or inconsistent, payment is refused, fraud or unlawful activity is suspected, or the request falls outside the scope of the website.

If an order is refused or cancelled before delivery after payment has been received, the amount paid for the affected product or service will be refunded, unless the payment is subject to a dispute, chargeback, suspected fraud or another lawful withholding ground.

5. Products and services

GTBackup supplies digital products and digital services for automotive use, including ECU backup files, original ORI files, technical calibration references, custom digital file sourcing and related digital processing services.

Products are supplied as digital files or other digital deliverables. No physical item is shipped unless expressly stated otherwise.

Product descriptions may include available references, characteristics, compatibility information and delivery methods. Illustrations, screenshots, names, technical references and descriptions are provided for identification and information purposes.

The customer is responsible for checking that the selected product or requested service corresponds to their technical requirements before placing an order.

6. Customer responsibility, compatibility and professional use

The customer is solely responsible for verifying product compatibility before purchase and before any use or writing operation. This verification includes, without limitation, the vehicle model, engine version, ECU type, ECU manufacturer, hardware reference, software reference, manufacturer part number, file size, checksum requirements, coding or immobiliser requirements, tool compatibility, communication protocol, power supply conditions and any other technical requirement.

All files supplied by GTBackup, including original ORI files, stock files, backup files, modified files, Stage 1 files, calibration references, customised files and custom digital deliverables, are technical files intended exclusively for professional use.

Files are supplied as raw or semi-raw technical deliverables. They must be professionally verified and validated and, where necessary, adapted by a qualified professional before any writing operation or other use.

No file supplied by GTBackup should be considered automatically suitable for direct programming or writing without prior professional verification.

Original ORI files, stock files and backup files are supplied as technical reference, diagnostic, repair, recovery, backup or electronic restoration files. The customer remains solely responsible for confirming that the file corresponds exactly to the target ECU, vehicle, engine, hardware, software, configuration, coding, immobiliser system, market and intended operation.

The description of a file as original, ORI, stock or backup does not constitute manufacturer approval, vehicle homologation, road-use approval, emissions certification, technical-inspection approval, insurance validation or confirmation that the file is suitable for a particular vehicle or purpose.

Modified files, Stage 1 files, calibration-related files and customised files are supplied only for development, diagnostic, repair, recovery, research, testing, educational, motorsport, export, off-road, test-bench or closed-course purposes where such use is lawful.

The customer is solely responsible for determining whether a file may lawfully be possessed, modified, written, tested or used in the relevant country, market, vehicle, road, track, workshop, competition or other context.

GTBackup does not provide legal advice, emissions-compliance advice, road-use approval, vehicle homologation, technical-inspection approval, insurance validation or manufacturer certification.

The customer must not use any file to unlawfully bypass, delete, disable, reduce, modify or defeat a legally required emissions-control, pollution-control, safety, monitoring, diagnostic or compliance system.

7. Customer-supplied files and instructions

Where the customer uploads, transmits or otherwise supplies a file, reference, calibration, instruction or other technical information, the customer confirms that they are authorised to possess and use it and to request the relevant processing.

The customer is responsible for the accuracy, completeness and legality of all information and instructions supplied to GTBackup.

GTBackup is not responsible for an incorrect result caused by incomplete, inaccurate, corrupted, wrongly identified or unsuitable information or files supplied by the customer.

The customer must not upload or transmit malicious code, unlawful content or any file that infringes intellectual-property rights, confidentiality obligations or third-party rights.

The fulfilment of a custom request does not constitute confirmation by GTBackup that the requested modification, intended vehicle use, road use, emissions configuration, homologation status or regulatory treatment is lawful.

8. Technical precautions before ECU writing

Before any ECU writing, cloning, restoration, calibration or file-related operation, the customer must perform all checks required for the intended operation.

This includes verifying ECU identification, hardware and software references, file integrity, file size, checksum requirements, tool configuration, reading and writing protocol, battery condition, external power supply and the availability of a verified original backup.

The customer acknowledges that ECU operations involve technical risks and must be performed only with suitable professional tools, stable power supply and appropriate technical knowledge.

Incorrect identification, interrupted writing, unsuitable tools, corrupted reads, incorrect checksum handling, incompatible hardware, insufficient power supply or improper procedure may damage an ECU, vehicle or associated equipment.

GTBackup does not control the customer’s equipment, workshop environment, vehicle condition, ECU condition, power supply, writing procedure or technical handling. The customer remains responsible for all operations carried out after delivery.

9. Prices, VAT and payment

Prices are displayed in euros (€), unless otherwise stated on the website.

Where the seller benefits from the French VAT exemption scheme, VAT is not charged in accordance with article 293 B of the French General Tax Code. The applicable VAT or tax treatment is indicated on the invoice.

If the seller becomes liable for VAT, or if another tax rule applies, VAT or other applicable taxes may be included, added or handled in accordance with the rules in force when the order is placed.

Payment is processed through the supported payment methods available at checkout, including payment services provided by Stripe.

GTBackup does not collect or store full payment-card details. Such information is processed by the applicable payment provider.

10. Customer account

A customer account may be created during checkout to provide access to orders, invoices and available downloads.

The customer must provide accurate and current account information and is responsible for keeping login details confidential.

The customer is responsible for activity carried out through their account, except where unauthorised activity results directly from a security failure attributable to GTBackup.

GTBackup may suspend or restrict an account in the event of suspected fraud, misuse, payment dispute, chargeback, unlawful activity, security risk or breach of these Terms.

11. Digital delivery

Digital products may be delivered by direct download, customer-account access, email or custom processing workflow, depending on the product or service ordered.

For instant-download products, the file is normally made available after payment confirmation.

For custom sourcing, custom processing or manually supplied files, any delivery time stated on the website is indicative only unless expressly agreed otherwise. Delivery may depend on file availability, technical complexity, the accuracy of information supplied by the customer and current workload.

If GTBackup is unable to supply a custom product or service, it may propose a suitable alternative or store credit. If the customer does not accept the proposed alternative or credit, the amount paid for the unavailable item will be refunded.

12. Immediate digital access and withdrawal

GTBackup is intended for professional customers, for whom a statutory consumer right of withdrawal does not normally apply.

By ordering immediately supplied digital content, the customer requests immediate access to or performance of the digital content and acknowledges that an order cannot be cancelled merely because the customer changes their mind after the content has been made available or processing has begun.

If mandatory consumer law nevertheless applies, immediate supply before the end of any withdrawal period will occur only subject to the express request, consent and acknowledgement required by law.

Nothing in this section excludes a mandatory cancellation, withdrawal, conformity or reimbursement right that cannot lawfully be excluded.

13. Refunds, corrections and delivery issues

Refunds are not available solely because the customer selected an incompatible product, changed their mind, no longer requires the file, lacks the required tools, cannot correctly use the file or failed to verify compatibility before ordering.

A correction, replacement or refund may be considered in the following circumstances:

• duplicate payment;
• proven non-delivery attributable to GTBackup;
• a manifest mismatch between the product description and the file supplied, attributable to GTBackup;
• a technical delivery error attributable to GTBackup;
• GTBackup is unable to supply the purchased custom product or service and no acceptable alternative is agreed;
• a mandatory legal right requires correction, replacement, price reduction or refund.

The customer must report an issue within a reasonable period after discovering it and provide the order number, relevant ECU references, file information and a clear description of the issue through the contact form.

The customer must allow GTBackup a reasonable opportunity to investigate and, where appropriate, correct or replace the affected file before initiating a payment dispute or chargeback, except where this would unreasonably prejudice a mandatory legal right.

14. General legal and regulatory compliance

The customer is solely responsible for ensuring that the purchase, download, possession, storage, modification, export, import and use of any file supplied by GTBackup complies with the laws and regulations applicable in their country and professional context.

This includes regulations relating to vehicle repair, road use, emissions, pollution-control systems, safety systems, diagnostics, intellectual property, professional qualifications, insurance, technical inspection, data processing and administrative authorisations.

The customer is responsible for obtaining any required approval, declaration, inspection, homologation, insurance notification, licence or regulatory authorisation.

GTBackup may refuse, suspend or cancel an order, request or account that reasonably appears unlawful, abusive, fraudulent, misleading, technically unsafe or incompatible with the purpose of the website.

15. No manufacturer affiliation

GTBackup is independent and is not affiliated with, endorsed by or sponsored by any vehicle manufacturer, ECU manufacturer, tool manufacturer, software publisher or other third-party brand.

All trademarks, brand names, vehicle names, ECU names, tool names, software names, part numbers and technical references remain the property of their respective owners.

They are used solely for identification, compatibility, diagnostic, repair, reference and professional information purposes.

16. Warranty and limitation of liability

GTBackup makes reasonable efforts to provide accurate product descriptions and digital deliverables corresponding to the references and information available when the product is supplied.

The customer acknowledges that ECU files and related deliverables are technical products whose suitability and use depend on factors outside GTBackup’s reasonable control, including vehicle and ECU condition, identification accuracy, tool compatibility, checksum handling, power supply, writing procedure, workshop environment and customer decisions.

GTBackup does not guarantee that a file will be suitable for a particular vehicle, ECU, tool, purpose or lawful road use unless such suitability is expressly confirmed in writing for the specific order.

To the fullest extent permitted by law, GTBackup is not liable for indirect, consequential, incidental, operational or business losses, including loss of profit, revenue, data, opportunity, reputation, vehicle availability or workshop availability.

GTBackup is not liable for ECU, vehicle or equipment damage to the extent that such damage results from incorrect identification, incompatible tools or hardware, inadequate power supply, interrupted writing, corrupted customer data, failure to follow professional precautions, unauthorised modification or another factor outside GTBackup’s reasonable control.

Where GTBackup’s liability is legally established and cannot be excluded, total liability relating to the affected order is limited, to the fullest extent permitted by law, to the amount actually paid for that order.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury where liability cannot be excluded, breach of an essential contractual obligation where the limitation would deprive that obligation of its substance, or any other liability that cannot lawfully be excluded or limited.

17. Intellectual property, third-party rights and licence

The website structure, product descriptions, texts, visuals, layout, branding elements, databases and digital deliverables created or modified by GTBackup are protected by applicable intellectual-property laws.

GTBackup does not claim ownership of third-party trademarks, vehicle brands, manufacturer names, ECU names, tool names, software names, part numbers, references or intellectual property belonging to third-party rights holders.

Purchase of a digital product does not transfer ownership of any intellectual-property right belonging to GTBackup or a third party.

Unless otherwise stated, a purchased file is supplied under a limited, non-exclusive and non-transferable licence for the customer’s own professional activities, including work carried out for the customer’s own clients where legally permitted.

The customer may use the file as part of a lawful professional ECU operation but may not resell, redistribute, share, publish, upload, sublicense or otherwise make the file, custom deliverable or download link available as a standalone digital product to a third party without prior written authorisation.

The customer remains responsible for ensuring that their use of any file, reference, brand name, software, ECU data or third-party content complies with applicable rights, licences and intellectual-property laws.

18. Payment disputes, fraud and electronic evidence

In the event of suspected fraud, unauthorised use, payment dispute, chargeback or abuse of the download system, GTBackup may suspend access to downloads, accounts and future orders.

Subject to applicable law and the Privacy Policy, GTBackup may retain and use order records, payment references, account information, delivery records, access records and download logs to investigate an incident, establish delivery, defend its rights or respond to a payment dispute.

Such information may be provided to payment providers, banks, insurers, professional advisers, courts or competent authorities where reasonably necessary and legally permitted.

Electronic records, transaction records, account records, access logs and download logs may be relied upon as evidence where permitted by law.

19. Website availability and force majeure

GTBackup makes reasonable efforts to keep the website, customer accounts and download systems accessible and functional.

Temporary unavailability may occur due to maintenance, updates, hosting incidents, network failures, cyber-security measures, payment-provider incidents or events outside GTBackup’s reasonable control.

GTBackup does not guarantee uninterrupted access to the website or downloads at all times.

GTBackup is not liable for delay or failure caused by an event beyond its reasonable control, provided that reasonable steps are taken to limit the effects of the event and resume performance when reasonably possible.

20. Personal data

Personal data is processed in accordance with our Privacy Policy.

Customers may contact GTBackup through the contact form for any request relating to personal data or the exercise of applicable data-protection rights.

21. Governing law and jurisdiction

These Terms are governed by French law, subject to any mandatory rule that cannot be excluded under applicable law.

This jurisdiction clause applies only where the customer has contracted in a commercial capacity and the clause is enforceable under the applicable procedural and international rules.

It does not exclude a mandatory jurisdiction rule, protective rule or legal right that cannot lawfully be excluded.

22. Severability, waiver and entire agreement

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

A failure or delay by GTBackup in exercising a right does not constitute a waiver of that right.

These Terms, together with the applicable product description, order information, Privacy Policy and Legal Notice, constitute the contractual framework governing orders placed through GTBackup.

23. Changes to these Terms

GTBackup may update these Terms to reflect changes in its activities, products, services, payment methods, technical infrastructure, legal obligations or website operation.

The version applicable to an order is the version available on the website when the order is placed. A later change does not retrospectively alter an order already concluded unless required by law or expressly agreed by the parties.
